These Terms of Service, also referred to as Terms & Conditions, User Agreement, or Agreement (this “Agreement”), govern your general access and use of the website, products, services, software, applications, APIs, content, tools, digital platforms, training tools, and other technology solutions (“Services”, “Products“) offered by CLB Technologies Limited, a registered technology solutions provider (“Code Lab Technologies Limited“, “CLB Technologies”, “CLB Tech Ltd“, “we”, “us”, “our”). BY ACCESSING OR USING OUR SERVICES, YOU ACCEPT AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

1. Definitions

In this Agreement, the following capitalized terms have the meanings set out below:

  • Account: a unique user profile created for you to access certain parts of the Services.
  • Content: text, graphics, images, video, code snippets, documentation, software interfaces, designs, and other data made available through the Services.
  • User(s)/You: individuals or entities accessing or using the Services.
  • Website: the online platforms, subdomains, and URLs operated by CLB Technologies.
  • Services: all offerings provided by CLB Technologies via the Website, applications, APIs, and other digital or offline means.

2. Acceptance of Terms

Your use of CLB Technologies’ Services constitutes your acceptance of these Terms. These Terms apply to all visitors, users, customers, and others who access the Services, including those who register for or purchase products, request support, or interact with CLB Technologies in any manner.

3. Eligibility

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to accept these Terms. By using the Services, you represent and warrant that you meet the eligibility criteria. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Account Registration and Security

To access certain parts of the Services (e.g., client portals, dashboards), you must register an Account. You agree to provide accurate, complete, and up-to-date information and to keep your account information current. You are solely responsible for maintaining the confidentiality of your account credentials and any activity that occurs on your Account.

5. Use of the Services

CLB Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services subject to your compliance with these Terms. You agree not to:

  • Reverse engineer, decompile, disassemble, modify, adapt, or create derivative works of any part of the Services.
  • Use the Services in any unlawful manner, or for any illegal or unauthorized purpose.
  • Interfere with the integrity or performance of the Services, servers, or networks.
  • Attempt to gain unauthorized access to the Services or related systems.

6. Intellectual Property Rights

All trademarks, copyrights, patents, trade secrets, and other intellectual property rights in the Services and Content are owned by CLB Technologies or its licensors. Nothing in these Terms grants you ownership of any intellectual property rights.

7. User Content

You retain ownership of any content that you submit, post, or display on or through the Services (“User Content”). By submitting User Content, you grant CLB Technologies a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display your User Content in connection with providing the Services.

8. Fees, Billing, and Payment

Where applicable, you agree to pay all fees and charges associated with your use of paid parts of the Services. Prices and payment terms are described at the point of purchase. All fees are non-refundable unless expressly stated otherwise. Late payments may incur interest or suspension of services.

9. Privacy and Personal Data

Your privacy is important. Our Privacy Policy describes how we collect, use, disclose, and protect your personal information. By using the Services, you acknowledge and agree to the collection and use of your personal information as described in the Privacy Policy.

10. Third-Party Services and Links

The Services may contain links to third-party websites, services, APIs, or integrated content (“Third-Party Services”). We do not endorse, control, or assume responsibility for those Third-Party Services or content, and your use of them is at your own risk.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your rights to use the Services immediately cease, and any provisions intended to survive termination will remain in effect.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLB TECHNOLOGIES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

14. Indemnification

You agree to indemnify, defend, and hold CLB Technologies and its officers, directors, employees, agents, and affiliates harmless from any claims, liabilities, damages, losses, costs, or expenses arising from your breach of these Terms or your use of the Services.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction of the Republic of Malawi, where CLB Technologies Limited is registered. You agree to resolve disputes through binding arbitration or in courts of competent jurisdiction as specified in our arbitration clause (if applicable).

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will post updated terms on the Website, and your continued use of the Services after changes are effective constitutes your acceptance of the revised Terms.

17. Client Data Processing Addendum

To the extent that CLB Technologies Limited (Chereode Lab Technologies Limited) processes, stores, hosts, accesses, or manages any personal data, business information, or confidential client data in the course of providing services (including software development, web hosting, ICT support, cybersecurity, or managed infrastructure), such processing shall be governed by our Client Data Processing & Privacy Addendum.

This Addendum forms part of these Terms of Service and is incorporated herein by reference. By using our Services or engaging CLB Technologies for professional technology solutions, you acknowledge and agree to the terms outlined in the Addendum. You may review the full Addendum here.

18. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. This Agreement, together with all policies referenced herein, constitutes the entire agreement between you and CLB Technologies Limited regarding the Services.
